1. Introduction

These Terms of Service (“Terms”) form a legally binding agreement between you and Meex Inc. (“Meex,” “we,” “us,” or “our”).

Meex operates the Meex website, web application, browser extension, professional-discovery tools, video-meeting features, scheduling tools, communication features, payment functionality, and related services. Together, these are referred to as the “Services.”

Meex helps people discover professionals and arrange one-on-one video conversations with people whose experience may be relevant to their goals.

These Terms govern your access to and use of the Services.

Our Privacy Policy explains how Meex collects, uses, discloses, retains, and protects personal information.

2. Acceptance of These Terms

You agree to these Terms when you:

  • Create or claim a Meex account;
  • Click a button indicating that you accept these Terms;
  • Install or use the Meex browser extension;
  • Send or accept a meeting request;
  • Confirm or participate in a meeting;
  • Make or receive a payment through Meex; or
  • Otherwise use authenticated portions of the Services after being given access to these Terms.

If you do not agree to these Terms, you must not use the Services.

A person does not become a Meex user or agree to these Terms merely because Meex displays an auto-generated or unclaimed professional profile about that person. These Terms apply once that person creates or claims an account, accepts a meeting request, or otherwise uses the Services.

If you use Meex for a company or organization, you represent that you are authorized to act for and bind that organization. In that case, “you” includes both you and the organization.

3. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to create or use a Meex account.

Accounts for minors are not supported.

You may not use Meex if:

  • Applicable law prohibits you from using the Services;
  • You cannot legally enter into these Terms;
  • Meex has permanently suspended your account and has not authorized your return; or
  • You use the Services on behalf of an organization without authority to do so.

4. Definitions

For these Terms:

“Advisor” means a Meex user who makes themselves available to receive meeting requests or provide knowledge-sharing meetings.

“Seeker” means a Meex user who searches for a professional, sends a meeting request, or books a meeting.

A user may act as both an Advisor and a Seeker through the same account.

“Meeting” means a video call or other interaction requested, scheduled, or facilitated through Meex.

“Meeting Fee” means the price set or accepted by an Advisor for a Meeting.

“Service Fee” means the fee charged by Meex for facilitating a paid Meeting.

“User” means any registered person who accesses or uses the Services, including Advisors and Seekers.

“User Content” means profile information, photographs, messages, meeting requests, questions, reviews, files, links, chat messages, feedback, and other content submitted or made available by a User.

“Meex Content” means the software, interface, design, text, branding, databases, search systems, ranking systems, browser extension, documentation, and other content owned or licensed by Meex. Meex Content does not include User Content.

5. Meex’s Role

Meex provides technology that facilitates:

  • Professional discovery;
  • Professional profiles;
  • Meeting requests;
  • Scheduling;
  • Browser-based video meetings;
  • Payments;
  • Advisor payouts;
  • Reviews;
  • AI-generated meeting recaps; and
  • Other related functionality.

Unless Meex expressly agrees otherwise in writing:

  • Meex is not an Advisor;
  • Advisors are independent Users;
  • Meex is not an employer, recruiter, employment agency, representative, partner, joint venturer, or general agent of any User;
  • Meex does not supervise or control the substance of Meetings;
  • Meex is not a party to a separate consulting, advisory, employment, or professional-services relationship between Users;
  • Meex does not guarantee that a Meeting will be accepted, scheduled, attended, or completed; and
  • Meex does not guarantee any result from a Meeting.

Users are responsible for deciding whether another User, Advisor, Meeting, or piece of information is appropriate for their needs.

6. Accounts and Sign-In

6.1 Sign-in methods

Meex may permit sign-in through:

  • LinkedIn;
  • Google; or
  • A one-time sign-in link sent to your verified email address.

Meex does not currently provide username-and-password accounts.

When you first create an account, Meex may require a one-time LinkedIn verification step regardless of which sign-in method you intend to use afterward.

This verification is used to help establish your professional identity and create your initial professional profile.

6.2 Account information

You must provide accurate, current, and complete account information.

You must promptly update information that becomes inaccurate or outdated.

You must not:

  • Create an account using false information;
  • Impersonate another person;
  • Create an account for another person without authorization;
  • Misrepresent your identity, employment, education, experience, credentials, or affiliations;
  • Maintain multiple accounts to evade a restriction;
  • Transfer, rent, sell, or share your account;
  • Use someone else’s sign-in link or connected account; or
  • Mislead Meex or another User about who controls an account.

6.3 Account security

You are responsible for:

  • Protecting access to your email and connected accounts;
  • Maintaining the security of your devices;
  • Activities conducted through your Meex account;
  • Keeping your contact details current; and
  • Promptly reporting suspected unauthorized access.

One-time email sign-in links are temporary and intended only for the recipient. You must not forward or share them.

Contact support@meex.co promptly if you believe your account, email, or connected account has been compromised.

6.4 Connected accounts

When you connect a third-party account, you authorize Meex to receive and use information made available through the applicable authorization process, as described in our Privacy Policy.

Your relationship with the third-party provider is separately governed by that provider’s terms and privacy practices.

Meex is not responsible for:

  • Suspension of a third-party account;
  • Changes to third-party permissions;
  • Third-party outages;
  • Information provided inaccurately by a third party; or
  • Loss of access caused by disconnecting or losing access to a connected account.

7. Professional Profiles

A Meex profile may contain:

  • Name;
  • Photograph;
  • Professional title;
  • Employer;
  • Employment history;
  • Education;
  • Skills;
  • Areas of experience;
  • Professional interests;
  • Biography;
  • Location;
  • Professional-profile links;
  • Availability;
  • Meeting rates;
  • Meeting lengths;
  • Acceptance rate;
  • Reviews;
  • Trust badges; and
  • Other professional information.

You are responsible for the information you add to your profile.

You must not claim:

  • Credentials you do not hold;
  • Employment that is not accurate;
  • Education you did not complete;
  • Professional licences you do not possess;
  • Experience you do not have;
  • Affiliations that do not exist; or
  • Results or achievements that are false or misleading.

Meex may review profiles before or after they become visible. A profile may be temporarily unavailable in search during a review.

Meex may request additional information to verify identity, profile accuracy, or compliance with these Terms.

8. Profile Visibility

Depending on your settings and account status, your profile may be:

  • Public;
  • Discoverable in Meex search;
  • Visible to registered Users;
  • Visible only to people involved in a Meeting request;
  • Hidden;
  • Under review;
  • Not accepting requests; or
  • Marked as auto-generated or unclaimed.

You may be able to hide your profile while retaining access to account settings, Meeting history, payment records, and payout records.

Making your profile visible again may allow you to resume receiving requests, subject to your availability and account standing.

Publicly available profile information may be copied, saved, indexed, screen-captured, or shared by others. Meex cannot fully control information after another person obtains it outside the Services.

9. Auto-Generated and Unclaimed Profiles

9.1 Professional discovery

Meex allows Users to search for a specific professional using information such as:

  • Name and company;
  • Professional-profile URL;
  • Professional email address;
  • Role;
  • Expertise;
  • Industry; or
  • Location.

If a professional is not already registered, Meex may use professionally sourced information to locate or build an auto-generated profile for that person.

9.2 Auto-generated profile status

An auto-generated or unclaimed profile:

  • Is not a registered Meex account;
  • Does not mean that the person has joined Meex;
  • Does not mean the person created or verified the profile;
  • Does not indicate that the person accepts Meeting requests;
  • Does not mean the person endorses Meex; and
  • Does not authorize another User to act for that person.

Meex will seek to label auto-generated profiles so Users understand that the person has not yet personally created or claimed the profile.

9.3 Claiming or correcting a profile

A person represented by an auto-generated profile may:

  • Claim the profile;
  • Correct inaccurate professional information;
  • Report incorrect information;
  • Request suppression from Meex search;
  • Restrict future invitations; or
  • Request removal, subject to applicable law and necessary suppression records.

Meex may require reasonable identity verification before making such changes.

9.4 Information about another person

When you search for, identify, refer, or provide information about another person, you represent that:

  • Your use is lawful;
  • You are acting in good faith;
  • You are not impersonating the person;
  • You are not attempting to harass or deceive the person;
  • You will not submit sensitive or private information unnecessarily; and
  • You will not use Meex for unlawful marketing, surveillance, discrimination, or data collection.

10. Browser Extension

The Meex browser extension is optional.

It may allow you to:

  • Request a Meeting from a supported professional-profile page;
  • Use a professional-profile URL to identify a person;
  • Select a person’s name on a webpage and initiate a search;
  • Open Meex functionality without leaving the webpage; and
  • Access related professional-discovery features.

The extension may process information necessary to provide the feature you intentionally activate, such as the webpage URL, selected name, or professional-profile identifier.

You must not use the extension to:

  • Collect information in bulk;
  • Scrape professional profiles;
  • Send automated requests;
  • Harvest email addresses;
  • Circumvent website restrictions;
  • Impersonate another person; or
  • Violate the terms of a third-party website.

11. Finding and Ranking Advisors

Meex may rank, recommend, or display professionals using factors such as:

  • Relevance to the search;
  • Profile completeness;
  • Areas of experience;
  • Activity level;
  • Response rate;
  • Acceptance rate;
  • Meeting history;
  • Reviews;
  • Trust Standing;
  • Professional information;
  • Availability; and
  • Other quality or reliability signals.

Search rankings and recommendations are not endorsements.

A prominent result does not mean that a person:

  • Is more qualified than another person;
  • Is licensed;
  • Is suitable for your circumstances;
  • Will accept your request;
  • Will provide accurate information; or
  • Will produce a particular outcome.

Search results and auto-generated profiles may contain incomplete, outdated, or inaccurate information. Users must independently verify information that is important to their decisions.

12. Meeting Request Methods

Meex supports two primary booking methods.

12.1 Instant Booking

An Advisor may enable Instant Booking after setting their availability.

With Instant Booking:

  • The Seeker selects an available time;
  • The applicable price and fees are shown;
  • The Seeker confirms the booking;
  • Payment is processed for a paid Meeting; and
  • The Meeting is confirmed without a separate Advisor approval step.

An Advisor may enable or disable Instant Booking at any time. Changes do not cancel Meetings that are already confirmed.

12.2 Request Review

With Request Review:

  • The Seeker submits a Meeting goal and relevant context;
  • The Advisor reviews the request;
  • The Advisor may accept, decline, or make a counter-offer;
  • If accepted, the Seeker selects an available time; and
  • The paid Meeting is charged when it becomes confirmed.

Advisors generally have up to seven days to respond.

If the Advisor does not respond within the applicable response period, the request expires automatically and the Seeker is not charged.

13. Meeting Requests

13.1 Request content

A Meeting request may include:

  • The Seeker’s name and professional profile;
  • The purpose of the requested Meeting;
  • Questions or desired outcomes;
  • Requested Meeting length;
  • Proposed rate or displayed rate;
  • Relevant links or written context; and
  • Other information supplied by the Seeker.

Users should keep requests focused and should not include unnecessary sensitive, confidential, or private information.

13.2 Pending requests

A Seeker may cancel a pending request before the Advisor accepts it. No charge applies.

A User may ordinarily have up to three active requests at one time. Meex may impose a lower limit based on Trust Standing, account status, safety concerns, or misuse.

13.3 Declined requests

If an Advisor declines a request:

  • The Seeker is not charged; and
  • The Seeker may not send another request to that same Advisor.

This restriction is specific to the Advisor who declined the request.

Meex may review exceptional cases where a decline appears to have occurred because of a technical or account error, but is not required to reverse the restriction.

13.4 Accepted but unscheduled requests

If an Advisor accepts a request but the Seeker cancels before selecting a Meeting time:

  • The Seeker is not charged; and
  • The Seeker may not send a new request to that Advisor for 30 days.

This restriction applies to both free and paid Meetings.

13.5 Repeated or abusive requests

Meex may limit, block, delay, or review requests that appear to be:

  • Repetitive;
  • Automated;
  • Excessive;
  • Harassing;
  • Misleading;
  • Unlawful;
  • Commercial spam;
  • Directed to invalid contact information;
  • Damaging to communication deliverability; or
  • Intended to interfere with an Advisor’s availability.

14. Invitations to People Who Have Not Joined Meex

A Seeker may request a Meeting with a professional who does not yet have a Meex account.

Where permitted by law, Meex may send the professional a limited invitation or Meeting-request notification.

Receiving such an invitation:

  • Does not create a Meex account;
  • Does not mean the recipient has agreed to a Meeting;
  • Does not require the recipient to join Meex;
  • Does not mean Meex has fully verified the recipient; and
  • Does not bind the recipient to these Terms unless they register, claim a profile, accept the request, or use the Services.

A recipient may decline, unsubscribe, request suppression, or contact Meex concerning the invitation.

To accept and manage a Meeting through Meex, the recipient must create and verify an account.

15. Rates, Session Lengths, and Counter-Offers

15.1 Advisor rates

Advisors choose their own Meeting rates.

Advisors may offer:

  • Paid Meetings;
  • Free Meetings;
  • Different rates for different Meeting lengths; and
  • Discounted rates through valid community codes.

Meex currently supports 30-minute and 60-minute Meeting options. Available lengths are displayed before booking.

An Advisor may change their rates for future Meetings. A rate change does not alter the price of a Meeting already confirmed.

15.2 Adjusting a rate

When reviewing a request, an Advisor may:

  • Accept at the displayed rate;
  • Reduce the rate;
  • Make the Meeting free;
  • Propose another rate through a counter-offer; or
  • Decline the request.

A rate adjustment for one request does not change the Advisor’s public rate for future requests.

15.3 Counter-offers

If an Advisor makes a counter-offer:

  • The Seeker will be shown the proposed rate;
  • The Seeker may accept or decline it;
  • Declining ends the request without charge;
  • Accepting authorizes the applicable charge and allows the Meeting to proceed to confirmation and scheduling; and
  • The counter-offer expires when the underlying request expires.

16. Community Codes and Discounts

Advisors may create community codes for particular groups or audiences.

A community code may provide:

  • A percentage discount;
  • A fixed-value discount; or
  • A free Meeting.

A code may be limited by:

  • Meeting length;
  • Expiration date;
  • Number of uses;
  • Advisor settings;
  • Instant Booking status; or
  • Other conditions shown when the code is created or used.

Only one community code may be used for a booking. Codes cannot be combined unless Meex expressly permits it.

A discount is applied only if the code is valid when the booking is confirmed.

An Advisor may modify, deactivate, or delete a code for future use. Changes do not retroactively change a confirmed booking.

Meex does not guarantee that a code will remain available.

17. Availability and Scheduling

Advisors control their own availability.

An Advisor may set:

  • Weekly available hours;
  • Time zone;
  • Scheduling window;
  • Minimum booking notice;
  • Buffer time;
  • Blocked dates;
  • Vacation periods;
  • Maximum daily bookings; and
  • Whether Instant Booking is enabled.

Availability settings generally apply only to future bookings and do not change confirmed Meetings.

Users are responsible for checking:

  • Meeting date;
  • Start time;
  • Time zone;
  • Duration;
  • Meeting link; and
  • Any preparation information.

Times may be displayed using account, browser, device, or calendar settings. Incorrect settings may result in an incorrect displayed time.

18. Calendar Integration

Connecting Google Calendar is optional.

When connected, Meex may:

  • Read calendar availability or busy times;
  • Prevent conflicting bookings;
  • Create a calendar event for a confirmed Meeting;
  • Update the event when a Meeting is rescheduled; and
  • Remove the event when a Meeting is cancelled.

Users remain responsible for reviewing their calendars and confirming that Meeting information is correct.

Meex does not guarantee that:

  • Every calendar conflict will be identified;
  • Every calendar event will be interpreted correctly;
  • Synchronization will occur immediately;
  • A third-party calendar will remain available;
  • Notifications will be delivered; or
  • An event will update correctly on every device.

Disconnecting a calendar stops future synchronization. Existing calendar events may remain and may need to be removed manually.

19. Rescheduling

Only the Seeker may initiate a reschedule through the standard rescheduling feature.

A confirmed Meeting may be rescheduled only if:

  • The Meeting is more than 24 hours away; and
  • The Meeting has not already been rescheduled twice.

Rescheduling is free.

Each Meeting may be rescheduled no more than two times.

Rescheduling is not available when the Meeting begins in 24 hours or less.

If an Advisor cannot attend the scheduled time, the Advisor must cancel the Meeting rather than rescheduling it on the Seeker’s behalf. The Seeker may then receive a full refund for a paid Meeting or choose to book again.

20. User Cancellations

A Seeker may cancel a confirmed Meeting through the dashboard.

For a paid Meeting:

  • If the Seeker cancels more than 24 hours before the scheduled start time, the Seeker receives a full refund.
  • If the Seeker cancels 24 hours or less before the scheduled start time, the Seeker receives a 50% refund.
  • If the Seeker does not attend without cancelling, the full amount remains payable.

Cancellations may affect the Seeker’s Trust Standing.

The cancellation policy applies based on the Meeting start time recorded by Meex, regardless of the participant’s local calendar display.

Nothing in this section limits a cancellation or refund right that cannot legally be excluded.

21. Advisor Cancellations

If an Advisor cancels a paid Meeting:

  • The Seeker receives a full refund; or
  • The Seeker may choose to make a new booking where available.

If an Advisor cancels a free Meeting, the Seeker may request another Meeting, subject to availability.

Advisor cancellations may affect the Advisor’s Trust Standing, profile visibility, ability to receive requests, and account status.

22. No-Shows, Late Arrival, and Early Departure

22.1 Seeker no-show

If the Seeker does not attend:

  • The Meeting may be treated as completed for payment purposes;
  • The Seeker may be charged the full amount; and
  • The no-show may affect the Seeker’s Trust Standing.

22.2 Advisor no-show

If the Advisor does not attend:

  • The Seeker receives a full refund or equivalent credit for a paid Meeting;
  • The Advisor may lose entitlement to payment; and
  • The no-show may affect the Advisor’s Trust Standing and account status.

22.3 Conflicting no-show reports

If both participants claim that the other person failed to attend, Meex may review:

  • Join and leave timestamps;
  • Connection logs;
  • Meeting-room activity;
  • Chat records;
  • The original Meeting request;
  • Support communications; and
  • A recording, if both parties consented to recording.

If available evidence identifies the absent participant, the standard no-show policy applies.

If the evidence is inconclusive, Meex may reach a reasonable resolution based on the available information, including issuing a refund, partial refund, credit, payout, or no adjustment.

22.4 Late arrival

Meetings begin and end at the confirmed times.

If a participant arrives late:

  • The Meeting still ends at the scheduled end time;
  • The Meeting is not automatically extended; and
  • The price is not reduced solely because of the late arrival.

22.5 Early departure

If a participant chooses to leave early, the Meeting may be treated as completed and no partial refund is ordinarily provided.

Meex may consider an exception for a verified emergency, misconduct, or a material failure attributable to Meex.

23. Technical Problems

Users are responsible for:

  • A compatible device;
  • A supported and updated browser;
  • A functioning microphone;
  • A functioning camera where video is desired;
  • A stable internet connection; and
  • Testing their setup before the Meeting.

If a material technical failure caused by Meex prevents or significantly disrupts a Meeting, Meex may provide:

  • Rescheduling;
  • A credit;
  • A full refund;
  • A partial refund; or
  • Another reasonable resolution.

Refunds are not guaranteed where a problem results from:

  • A User’s internet connection;
  • A User’s device;
  • Browser permissions;
  • Unsupported hardware;
  • A local network;
  • Failure to test equipment; or
  • A third-party outage outside Meex’s reasonable control.

Users should report technical problems promptly and provide relevant details.

24. Joining Meetings and Guests

Meex Meetings generally run in a supported web browser without a separate application.

A Meeting link may permit a guest to join without creating a Meex account.

Before inviting a guest, the inviting User must:

  • Inform the other primary participant;
  • Obtain any consent reasonably required;
  • Ensure that the guest has a legitimate reason to attend; and
  • Ensure that the guest follows these Terms and applicable law.

The User who shares the Meeting link is responsible for the conduct of invited guests.

You must not publish or distribute a Meeting link publicly.

Meex may remove a guest or restrict access where necessary for security, privacy, or safety.

25. Meeting Conduct

Users must conduct Meetings professionally and respectfully.

You must not:

  • Harass, threaten, intimidate, or abuse another participant;
  • Discriminate unlawfully;
  • Misrepresent your identity or intentions;
  • Request illegal assistance;
  • Seek confidential employer information improperly;
  • Seek trade secrets or inside information;
  • Encourage another person to breach legal, contractual, fiduciary, or professional obligations;
  • Use a paid Meeting primarily as an unsolicited sales pitch;
  • Pressure another User to purchase an unrelated product or service;
  • Share illegal, offensive, or harmful material;
  • Record without required consent; or
  • Use a Meeting to facilitate fraud or other unlawful conduct.

An Advisor may mention relevant tools, resources, services, or personal experience where genuinely related to the Meeting. However, paid Meetings must not be used primarily for undisclosed or unsolicited self-promotion.

26. Nature of Advice

Meex Meetings are intended for informational, educational, mentoring, and professional knowledge-sharing purposes.

Unless a separate legally valid agreement clearly states otherwise, a Meex Meeting does not automatically create:

  • A lawyer-client relationship;
  • A doctor-patient relationship;
  • A therapist-client relationship;
  • A fiduciary relationship;
  • An accountant-client relationship;
  • An investment-advisory relationship;
  • An employment relationship;
  • A formal consulting engagement; or
  • Another regulated professional relationship.

Meex does not screen or certify Advisors for professional licences unless a particular verification is expressly stated.

A badge, review, ranking, profile, or verification indicator does not establish that an Advisor is licensed to provide regulated advice.

For legal, medical, financial, psychological, immigration, tax, investment, or other regulated matters, Users should consult an appropriately licensed professional.

Users remain responsible for decisions made based on information received during a Meeting.

27. Confidentiality

Meex does not automatically create a confidentiality or non-disclosure agreement between participants.

Participants may enter into their own non-disclosure agreement if both agree.

Meex does not provide, negotiate, interpret, or enforce participant NDAs.

Before sharing confidential, proprietary, privileged, or commercially sensitive information, Users should determine whether:

  • Sharing is authorized;
  • The information is necessary;
  • A separate agreement is appropriate; and
  • The recipient is permitted to receive it.

Meex is not responsible for another participant’s unauthorized use or disclosure of information.

28. Recordings

Meex does not automatically record Meetings.

Recording is permitted only when:

  • The recording feature is available;
  • Both primary participants expressly consent;
  • Any guests are appropriately notified; and
  • Recording complies with applicable law.

Where recording is enabled:

  • The recording may be available to participants for up to seven days;
  • Participants may be able to download it during that period; and
  • Meex will ordinarily delete it automatically after seven days.

Users must not independently record, photograph, stream, or capture a Meeting without all consent required by law.

Once a participant downloads a recording, Meex cannot control how that downloaded copy is stored, used, or shared.

29. Captions, Automated Processing, and Meeting Recaps

29.1 Live captions

Meex may provide real-time captions during Meetings.

Live caption text is intended to assist participants and may contain errors.

Full caption transcripts are not intended to be retained after the Meeting unless a separate feature clearly states otherwise.

29.2 Automated meeting recaps

Meex may automatically generate a Meeting recap containing items such as:

  • Key points;
  • Decisions;
  • Highlights;
  • Suggested next steps; and
  • Action items.

To provide this feature, automated systems may temporarily process Meeting audio or a machine-generated transcript.

Meex does not routinely have human staff listen to or monitor Meeting conversations.

The full temporary transcript used for captioning or recap generation is not intended to be retained after the Meeting. The generated recap may be retained in participants’ dashboards and sent by email.

By participating in a Meeting where the recap feature is disclosed as active, you acknowledge this automated processing. Meex will provide additional notice or consent controls where required by law.

29.3 Accuracy

Captions and recaps may be:

  • Inaccurate;
  • Incomplete;
  • Missing context;
  • Attributed to the wrong speaker;
  • Based on misunderstood language; or
  • Unsuitable as an official record.

Users must review recaps before relying on, sharing, or acting on them.

A recap is not a certified transcript, professional record, legal record, or substitute for the participants’ own notes.

30. Sharing Files, Links, and Materials

Users may be able to share links, messages, or files through Meeting features.

You must have the right to share anything you provide.

You must not share:

  • Malware;
  • Harmful code;
  • Illegal material;
  • Infringing content;
  • Confidential information you are not authorized to disclose;
  • Personal information without authority;
  • Authentication credentials;
  • Payment-card information; or
  • Other content prohibited by these Terms.

Meex may impose technical limits on file types, file sizes, links, or storage periods.

31. Payments

31.1 One-time transactions

Meex currently offers one-time Meeting bookings.

Meex does not currently offer subscriptions, membership plans, or recurring subscription billing.

A paid Meeting is charged as an individual transaction.

31.2 Currency

All Meeting payments are currently processed in United States dollars.

Your card issuer or financial institution may apply:

  • Currency-conversion rates;
  • Foreign-transaction fees;
  • Bank fees; or
  • Other charges outside Meex’s control.

31.3 Checkout information

Before confirming a paid Meeting, Meex will display the applicable transaction information, including:

  • Advisor;
  • Meeting length;
  • Meeting Fee;
  • Service Fee;
  • Discount, if any;
  • Applicable taxes;
  • Currency;
  • Total amount;
  • Cancellation terms; and
  • Other material conditions.

You will have an opportunity to review the transaction and correct relevant errors before confirming payment.

31.4 Payment authorization

By providing a payment method and confirming a paid Meeting, you:

  • Represent that you are authorized to use the payment method;
  • Authorize the displayed charge;
  • Authorize Meex and its payment-processing providers to process the transaction;
  • Agree to provide accurate billing information; and
  • Agree to pay the amount displayed at confirmation.

Meex uses third-party payment-processing providers and does not ordinarily receive or store complete payment-card details.

31.5 When payment is charged

A Seeker is not charged merely for sending a Request Review request.

Payment is processed once a paid Meeting is confirmed, depending on the booking flow.

This may occur when:

  • An Instant Booking is confirmed;
  • A Request Review booking is accepted and scheduled;
  • A Seeker accepts a counter-offer and completes confirmation; or
  • Another clearly disclosed confirmation step occurs.

31.6 Saved payment method

Meex may allow one payment method to be associated with an account for future one-time bookings.

Saving a payment method does not authorize recurring subscription charges.

Each future Meeting must be separately requested or confirmed through the applicable booking flow.

32. Service Fees, Taxes, Receipts, and Invoices

Meex charges a Service Fee for paid Meetings.

The Service Fee:

  • May be calculated as a percentage of the Meeting Fee;
  • Is disclosed before payment confirmation; and
  • Does not apply to free Meetings unless expressly disclosed otherwise.

The complete mandatory price will be presented before the User confirms payment, excluding government-imposed taxes that may be shown separately.

Applicable taxes will be calculated and displayed where Meex is legally required to collect them.

Advisors remain responsible for determining and reporting their own income, business, sales, or other tax obligations.

After payment is processed, Meex will ordinarily provide an electronic confirmation or receipt containing transaction details.

Users may be able to access receipts or invoices from their dashboards.

33. Failed Payments and Chargebacks

If a payment fails or is reversed, Meex may:

  • Notify the Seeker;
  • Request an updated payment method;
  • Retry collection;
  • Restrict new Meeting requests;
  • Cancel an uncompleted Meeting;
  • Delay an Advisor payout;
  • Recover an outstanding amount; or
  • Take other reasonable action.

The Seeker remains responsible for valid charges arising from completed Meetings.

Users should contact support@meex.co before initiating a chargeback when reasonably possible.

A lawful good-faith payment dispute will not by itself justify retaliation. However, fraudulent, abusive, or knowingly false chargebacks may result in:

  • Account restriction;
  • Suspension;
  • Recovery action;
  • Withholding of related payouts; or
  • Termination.

34. Advisor Payouts

Advisors are ordinarily paid in United States dollars through the supported payout method shown in their account.

Payouts are ordinarily initiated within 14 business days after a paid Meeting is completed or treated as completed.

There is currently no minimum payout threshold.

An Advisor does not need to add payout information before offering free Meetings or creating a profile. Valid payout details must be provided before earnings can be successfully paid.

Payouts may be reduced by:

  • Fees charged by the payout provider;
  • Refunds;
  • Chargebacks;
  • Reversals;
  • Amounts owed to Meex;
  • Legally required withholding; or
  • Other amounts clearly disclosed or legally required.

Meex may delay or withhold a payout where reasonably necessary to:

  • Verify identity;
  • Correct payout information;
  • Investigate fraud;
  • Resolve a dispute;
  • Respond to a chargeback;
  • Address a security concern;
  • Comply with law; or
  • Determine whether a Meeting occurred.

If a Seeker’s payment fails after the Meeting, the Advisor payout may be delayed until payment is successfully collected.

Advisors are responsible for maintaining accurate payout details.

35. Refunds and Meeting Disputes

Refunds are generally available for:

  • Advisor cancellation;
  • Advisor no-show;
  • A material verified technical failure caused by Meex;
  • A cancellation eligible under Section 20;
  • A substantiated violation of platform standards; or
  • Another circumstance where applicable law requires a refund.

Refunds are not ordinarily available solely because:

  • The Seeker disagreed with the Advisor;
  • The advice was not what the Seeker expected;
  • The Advisor’s communication style was not a good fit;
  • The Seeker changed their mind after attending;
  • The Seeker arrived late;
  • The Seeker left early;
  • The Seeker failed to prepare; or
  • The Meeting did not produce a desired result.

To dispute a Meeting, contact support@meex.co promptly and provide:

  • Meeting details;
  • Date;
  • Participants;
  • Description of the issue; and
  • Relevant supporting information.

Meex may consider:

  • Join and leave records;
  • Connection logs;
  • Meeting-room activity;
  • Request content;
  • Chat logs;
  • Support communications;
  • Recording consent records;
  • A consented recording, if available; and
  • Information supplied by both participants.

Meex aims to review disputes promptly but does not guarantee a particular response time or outcome.

Meex may provide a refund, partial refund, credit, payout adjustment, warning, restriction, or another reasonable resolution.

36. Trust Standing

Meex may maintain a Trust Standing for Users.

Trust Standing may consider factors such as:

  • Completed Meetings;
  • Cancellations;
  • Late cancellations;
  • No-shows;
  • Advisor reliability;
  • Seeker reliability;
  • Verified account information;
  • Verified payment information;
  • Reports of misconduct; and
  • Other platform-integrity signals.

Trust Standing may affect:

  • Number of active requests;
  • Ability to send requests;
  • Ability to receive requests;
  • Search visibility;
  • Badges;
  • Instant Booking;
  • Account review;
  • Account restrictions; and
  • Suspension.

Meex may use standing levels such as:

  • Verified & Trusted;
  • Good Standing;
  • Limited Access;
  • Access Restricted; and
  • Account Suspended.

A User at Limited Access may be limited to one active Meeting request at a time.

A User at Access Restricted may be unable to send or receive new requests.

Repeated unreliability or serious violations may result in suspension.

A User’s exact Trust Standing score or internal level is not ordinarily public. Public profiles may display a limited badge or no badge.

Trust Standing is an internal platform measure and not a credit score, background check, professional certification, or guarantee of conduct.

37. Badges and Verification Indicators

Meex may display indicators such as:

  • Verified Meex Member; or
  • Verified & Trusted.

A standard verification badge may indicate that key account or professional-identity information has been verified.

A Verified & Trusted badge may also indicate a strong history of completed Meetings, limited cancellations, and other reliability signals.

A badge does not mean that Meex has:

  • Conducted a criminal background check;
  • Verified every profile statement;
  • Verified every professional licence;
  • Evaluated professional competence;
  • Endorsed the Advisor;
  • Guaranteed the Advisor’s advice; or
  • Guaranteed future behaviour.

Meex may change, remove, suspend, or revoke a badge where underlying information or account standing changes.

38. Reviews and Private Feedback

After a completed Meeting, a Seeker may be able to provide:

  • A public rating;
  • A public written review; and
  • Private feedback visible only to Meex.

Public reviews may display the reviewer’s name.

Advisors may see public reviews but may not edit or delete them.

Advisors may report a review for moderation.

Reviews must:

  • Be based on a genuine Meeting;
  • Reflect the reviewer’s honest experience;
  • Remain relevant to the Meeting;
  • Avoid confidential information;
  • Avoid unlawful discrimination;
  • Avoid threats or harassment;
  • Avoid knowingly false statements; and
  • Comply with applicable law.

Users must not:

  • Create fake reviews;
  • Review themselves;
  • Coordinate rating manipulation;
  • Offer undisclosed compensation for a positive review;
  • Retaliate against an honest reviewer;
  • Pressure someone to change an honest review; or
  • Create another account to alter ratings.

Meex may remove or restrict a review that violates these Terms.

The fact that a review remains visible does not mean Meex endorses it.

39. AI-Assisted Features

Meex may use artificial intelligence, machine learning, statistical analysis, or automated systems for features such as:

  • Professional search;
  • Profile matching;
  • Search ranking;
  • Identity resolution;
  • Duplicate-profile detection;
  • Advisor recommendations;
  • Acceptance-rate calculations;
  • Acceptance-likelihood estimates;
  • Suggested Meeting topics;
  • Draft profile content;
  • Draft Meeting requests;
  • Meeting recaps;
  • Suggested action items;
  • Trust and fraud detection; and
  • Product improvement.

AI-generated or automated results may be:

  • Incorrect;
  • Incomplete;
  • Outdated;
  • Biased;
  • Based on limited information;
  • Associated with the wrong person; or
  • Unsuitable for a specific purpose.

An acceptance rate, relevance score, identity match, recommendation, ranking, badge, or suggested price:

  • Is not a guarantee;
  • Is not a statement made by the person concerned;
  • Does not guarantee availability;
  • Does not guarantee acceptance;
  • Does not prove professional competence; and
  • Must not be treated as regulated professional advice.

You must review AI-generated content before sending, publishing, or relying on it.

You must not submit to an AI feature:

  • Information you are not authorized to provide;
  • Highly sensitive personal information;
  • Trade secrets;
  • Confidential employer information;
  • Legally privileged information;
  • Passwords or sign-in links;
  • Payment-card details;
  • Government identification numbers; or
  • Content that violates these Terms.

Subject to applicable law and third-party rights, Meex does not claim ownership of output generated specifically in response to your input. However, AI output may not be unique and similar output may be provided to other Users.

40. User Content

As between you and Meex, you retain ownership of User Content you own.

By submitting User Content, you grant Meex a worldwide, non-exclusive, royalty-free, sublicensable, and transferable licence to host, store, reproduce, process, format, transmit, display, and otherwise use that content as reasonably necessary to:

  • Operate the Services;
  • Display your profile according to your settings;
  • Deliver Meeting requests;
  • Facilitate Meetings;
  • Provide chat and file-sharing features;
  • Process search and recommendations;
  • Generate captions and recaps;
  • Maintain security;
  • Prevent fraud and abuse;
  • Provide customer support;
  • Comply with law; and
  • Improve the Services as described in our Privacy Policy.

This licence is limited by:

  • The feature through which the content was submitted;
  • Your settings;
  • The Privacy Policy;
  • Applicable law; and
  • Additional notices presented with the feature.

The licence does not authorize Meex to publish private Meeting communications in advertising without separate permission.

You represent that:

  • You own or have permission to use your User Content;
  • Your User Content is accurate where presented as fact;
  • It does not infringe another person’s rights;
  • It does not violate confidentiality obligations;
  • It does not violate applicable law; and
  • Meex’s permitted processing will not violate another person’s rights.

41. Content Moderation

Meex may, but is not required to:

  • Review content;
  • Remove content;
  • Restrict content visibility;
  • Request corrections;
  • Add labels;
  • Preserve evidence;
  • Suspend related features;
  • Restrict an account; or
  • Report content where legally required.

Meex may act where content appears to:

  • Violate these Terms;
  • Be unlawful;
  • Be fraudulent or misleading;
  • Infringe another person’s rights;
  • Misrepresent identity or credentials;
  • Present a security or safety risk;
  • Contain malware;
  • Contain harassment or threats; or
  • Harm the integrity of the Services.

The fact that content remains available does not mean that Meex has reviewed or endorsed it.

42. Feedback About Meex

If you voluntarily submit ideas, feature suggestions, comments, or other feedback about Meex, you grant Meex a perpetual, worldwide, irrevocable, royalty-free right to use, modify, commercialize, and incorporate that feedback without compensation.

This does not give Meex ownership of private Meeting content, personal information, or confidential information that Meex has expressly agreed in writing to protect.

43. Prohibited Uses

You must not use Meex to:

43.1 Violate law or rights

  • Break applicable law;
  • Commit fraud;
  • Facilitate illegal activity;
  • Infringe intellectual-property rights;
  • Violate privacy rights;
  • Violate anti-spam law;
  • Misuse confidential information; or
  • Circumvent legal or professional obligations.

43.2 Mislead or impersonate

  • Impersonate another person;
  • Create a false identity;
  • Misrepresent professional credentials;
  • Misrepresent employment or education;
  • Claim authority you do not have;
  • Submit misleading Meeting requests;
  • Create deceptive profiles; or
  • Manipulate platform metrics.

43.3 Harass or harm others

  • Harass, threaten, intimidate, stalk, or abuse another person;
  • Send repeated unwanted requests;
  • Circumvent a block, suppression, or opt-out;
  • Discriminate unlawfully;
  • Publish private personal information;
  • Retaliate against someone for declining a request; or
  • Promote violence, exploitation, or illegal harm.

43.4 Send spam or unauthorized solicitations

  • Send automated or bulk requests;
  • Harvest contact details;
  • Send irrelevant promotions;
  • Use professional information for unrelated advertising;
  • Continue contacting someone who has objected;
  • Operate an unauthorized lead-generation service; or
  • Resell professional contact information.

43.5 Interfere with the Services

  • Upload malware or harmful code;
  • Probe systems without authorization;
  • Bypass security controls;
  • Defeat rate limits;
  • Access non-public systems;
  • Obtain another User’s credentials;
  • Disrupt the Services;
  • Manipulate technical identifiers; or
  • Interfere with another User’s access.

43.6 Scrape or extract data

Without Meex’s written authorization, you must not:

  • Scrape Meex;
  • Crawl profiles;
  • Use automated extraction tools;
  • Download professional information in bulk;
  • Collect email addresses;
  • Mirror search results;
  • Build a competing professional database;
  • Resell Meex data;
  • Monitor availability at scale;
  • Use bots to access Meex; or
  • Use Meex Content or platform data to train or develop a competing AI product.

44. Intellectual Property

Meex and its licensors own all rights in the Services and Meex Content.

Subject to these Terms, Meex grants you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable right to use the Services for their intended purposes.

You may not:

  • Copy Meex Content except as necessary for ordinary use;
  • Modify the Services;
  • Create derivative works from the Services;
  • Sell or sublicense access;
  • Reverse engineer software except where applicable law prohibits that restriction;
  • Remove proprietary notices;
  • Use Meex branding without permission;
  • Frame or mirror the Services;
  • Access source code;
  • Circumvent technical protections;
  • Benchmark Meex for a competing service without authorization; or
  • Use Meex Content outside the permitted functionality.

The Meex name, logos, designs, and associated branding are protected trademarks or identifiers. No trademark licence is granted except with written authorization.

45. Third-Party Services

Meex may interact with third-party services, including:

  • Sign-in providers;
  • Professional-networking services;
  • Calendar services;
  • Payment processors;
  • Payout providers;
  • Email providers;
  • Browser platforms; and
  • Other applications or websites.

Third-party services are independently operated and governed by their own terms and policies.

Meex does not control and is not responsible for:

  • Third-party availability;
  • Third-party security;
  • Third-party privacy practices;
  • Third-party content;
  • Third-party fees;
  • Changes to third-party functionality;
  • Third-party account suspension; or
  • Errors caused by a third-party service.

An integration or link does not mean that Meex endorses the third party.

46. Privacy

Meex’s handling of personal information is described in the Meex Privacy Policy.

You must not use personal information obtained through Meex in a way that violates:

  • These Terms;
  • The Privacy Policy;
  • The purpose for which the information was provided;
  • Another person’s rights;
  • Privacy law; or
  • Anti-spam law.

47. Safety Reports and Unwanted Contact

Meex maintains rules against harassment and harmful behaviour.

If another User makes you uncomfortable or repeatedly contacts you, contact support@meex.co and provide the person’s name or profile link.

Meex may:

  • Prevent further requests;
  • Restrict communication;
  • Investigate the conduct;
  • Warn a User;
  • Limit an account;
  • Suspend an account; or
  • Permanently remove an account.

Meex will seek to handle safety reports discreetly, but may need to disclose limited information to investigate fairly, comply with law, or protect Users.

48. Suspension and Account Restrictions

Meex may review, restrict, suspend, or terminate an account where we reasonably believe that:

  • These Terms have been violated;
  • Identity information is false;
  • An account has been compromised;
  • Fraud or payment abuse has occurred;
  • A User presents a safety risk;
  • A User is sending spam or abusive requests;
  • A User repeatedly misses or cancels Meetings;
  • A User infringes another person’s rights;
  • A User submits inappropriate or illegal content;
  • A User misuses paid Meetings for unsolicited promotion;
  • A legal obligation requires action; or
  • Continued access may harm Meex, Users, or third parties.

Possible actions include:

  • Limiting active requests;
  • Preventing new requests;
  • Preventing new bookings;
  • Hiding a profile;
  • Removing a badge;
  • Pausing payouts;
  • Cancelling Meetings;
  • Removing content;
  • Requiring verification;
  • Suspending an account; or
  • Permanently terminating access.

Meex may act without advance notice where immediate action is reasonably necessary for safety, security, legal compliance, fraud prevention, or preservation of evidence.

A suspended User may contact support@meex.co to request review.

Pending Meetings and payouts will be handled based on the circumstances, applicable law, and these Terms.

49. Account Deletion

You may permanently delete your account through available account settings.

Deletion cannot ordinarily be reversed.

Before deleting your account, you must:

  • Cancel or resolve upcoming Meetings;
  • Download any recaps or receipts you wish to keep;
  • Confirm that payout information is complete;
  • Resolve outstanding balances; and
  • Address any open disputes.

Deleting an account does not automatically cancel a confirmed Meeting unless Meex expressly confirms cancellation.

Failure to cancel an upcoming Meeting may result in:

  • A no-show charge;
  • Loss of an Advisor payout;
  • A Trust Standing impact; or
  • Another result under these Terms.

When an account is deleted:

  • The public profile will be removed or deactivated;
  • Account access will end;
  • Recoverable account data will be deleted or de-identified in accordance with the Privacy Policy; and
  • The deleted User cannot recover their dashboard or account history.

However:

  • Another participant may retain their own Meeting history, recap, receipt, review, or related record;
  • Meex may retain transaction records required for financial, legal, fraud-prevention, dispute, or security purposes;
  • Meex may retain suppression information to honour an opt-out or prevent profile recreation; and
  • Information may remain temporarily in protected backups.

Deleting an account does not remove obligations or liabilities that arose before deletion.

50. Changes to the Services

Meex may add, remove, modify, suspend, or discontinue features for reasons including:

  • Product development;
  • Security;
  • Legal compliance;
  • Third-party changes;
  • Technical requirements;
  • Abuse prevention;
  • Business operations; or
  • Service improvement.

Meex is not required to maintain every feature indefinitely.

Where a material change affects a confirmed paid Meeting, Meex will provide any notice, refund, or other remedy required by applicable law.

51. Beta and Experimental Features

Meex may provide beta, pilot, preview, or experimental features.

Such features may:

  • Be incomplete;
  • Contain errors;
  • Change without notice;
  • Produce inaccurate results;
  • Have limited support;
  • Lose stored information; or
  • Be discontinued.

You should not rely on an experimental feature for emergency, safety-critical, legally required, or other critical activity.

52. Disclaimers

Nothing in these Terms excludes or restricts a right, warranty, condition, remedy, or liability that cannot lawfully be excluded or limited.

Subject to that qualification and to the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis.

Meex does not guarantee that:

  • The Services will always be available;
  • Access will be uninterrupted;
  • The Services will be error-free;
  • Every defect will be corrected;
  • Communications will always be delivered;
  • Calendar synchronization will always be accurate;
  • Professional information will be complete or current;
  • Auto-generated profiles will be accurate;
  • Identity matches will always be correct;
  • AI output will be accurate;
  • Recommendations will be suitable;
  • A request will be accepted;
  • A Meeting will occur;
  • An Advisor will be qualified;
  • A User will behave appropriately;
  • A Meeting will produce a desired result;
  • Captions or recaps will be accurate; or
  • The Services will be completely free from security incidents.

To the maximum extent permitted by law, Meex disclaims implied warranties and conditions, including merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, and warranties arising from course of dealing.

You assume responsibility for decisions based on:

  • User Content;
  • Professional profiles;
  • Public information;
  • Reviews;
  • Rankings;
  • AI-generated results;
  • Meeting recaps;
  • Recommendations;
  • Meetings; and
  • Information supplied by another User.

53. Limitation of Liability

Nothing in this section excludes or limits liability that cannot lawfully be excluded or limited.

To the maximum extent permitted by law, Meex and its directors, officers, employees, affiliates, contractors, and agents will not be liable for:

  • Indirect damages;
  • Incidental damages;
  • Special damages;
  • Consequential damages;
  • Exemplary damages;
  • Punitive damages;
  • Lost profits;
  • Lost revenue;
  • Lost business opportunities;
  • Loss of goodwill;
  • Loss of anticipated savings;
  • Loss of data;
  • Business interruption; or
  • Replacement-service costs.

To the maximum extent permitted by law, Meex is not responsible for loss arising from:

  • Another User’s conduct;
  • Advice received during a Meeting;
  • An inaccurate professional profile;
  • An incorrect identity match;
  • A declined or unanswered request;
  • A missed Meeting;
  • A calendar error;
  • Email non-delivery;
  • A User’s internet or device;
  • A third-party service;
  • Unauthorized recording by another participant;
  • Disclosure of confidential information;
  • AI output;
  • A downloaded recording;
  • A compromised connected account; or
  • An event beyond Meex’s reasonable control.

To the maximum extent permitted by law, Meex’s total aggregate liability for all claims arising from or relating to the Services will not exceed the greater of:

  1. The Service Fees paid directly to Meex by you during the 12 months immediately before the event giving rise to the claim, excluding amounts collected for an Advisor; and
  2. CAD $100.

This limit applies regardless of whether a claim is based on contract, tort, negligence, statute, strict liability, or another theory.

This section does not limit:

  • A refund obligation that cannot legally be excluded;
  • Amounts validly payable to an Advisor;
  • Liability for fraud or wilful misconduct where it cannot lawfully be limited; or
  • Mandatory consumer rights.

54. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Meex and its directors, officers, employees, affiliates, contractors, and agents from third-party claims, liabilities, losses, damages, penalties, and reasonable legal costs arising from:

  • Your User Content;
  • Your violation of these Terms;
  • Your unlawful use of the Services;
  • Your infringement of another person’s rights;
  • Information you submit about another person;
  • Your misrepresentation of identity or credentials;
  • Your conduct during or relating to a Meeting;
  • Your unauthorized recording or disclosure;
  • Your breach of a confidentiality obligation;
  • Services you provide as an Advisor;
  • Your tax obligations; or
  • Your violation of applicable law.

You may not settle a claim in a way that imposes liability, admissions, or non-monetary obligations on Meex without Meex’s written consent.

This section does not require a consumer to indemnify Meex where such an obligation is prohibited or unenforceable under applicable law.

55. Disputes Between Users

Users should first attempt to resolve routine Meeting or scheduling concerns respectfully.

Meex may, but is not required to:

  • Review platform records;
  • Facilitate communication;
  • Issue a refund or credit;
  • Adjust a payout;
  • Restrict an account;
  • Remove content; or
  • Take another platform-level action.

Meex does not act as a court and is not required to determine the full legal rights of Users.

A Meex decision concerning a refund, payout, review, profile, or account does not prevent a person from exercising rights available under applicable law.

56. Disputes With Meex

Before beginning formal proceedings, you and Meex agree to make a reasonable effort to resolve the dispute informally.

A notice of dispute should include:

  • Your name;
  • Account email;
  • Relevant Meeting or transaction;
  • Description of the issue;
  • Relevant dates;
  • Requested resolution; and
  • Supporting information.

Notices may be sent to support@meex.co.

This informal process does not prevent either party from:

  • Preserving a legal limitation period;
  • Seeking urgent injunctive relief;
  • Filing a complaint with a regulator;
  • Exercising a mandatory consumer right; or
  • Taking another action that cannot lawfully be restricted.

57. Governing Law and Courts

These Terms and disputes arising from them are governed by:

  • The laws of the Province of Ontario; and
  • The applicable federal laws of Canada,

without regard to conflict-of-law rules.

Subject to mandatory rights under applicable law, the parties submit to the courts located in Toronto, Ontario.

If you are a consumer, this section does not deprive you of mandatory protections available under the laws of your place of residence.

These Terms do not require an Ontario consumer to submit a dispute to mandatory binding arbitration where such a requirement is prohibited by law.

58. Changes to These Terms

Meex may update these Terms to reflect changes to:

  • The Services;
  • Booking rules;
  • Payment practices;
  • Safety rules;
  • Technology;
  • Legal requirements; or
  • Business operations.

For minor or administrative changes, Meex may post the revised Terms and update the “Last updated” date.

For material changes, Meex will provide reasonable notice through:

  • Email;
  • An account notice;
  • An in-product message;
  • The website; or
  • Another appropriate method.

Material changes generally apply prospectively.

Where law requires express consent, Meex will request it.

If you do not accept revised Terms, you must stop using the affected Services before the changes take effect and may delete your account after resolving outstanding Meetings and payments.

59. Electronic Communications

You agree that Meex may provide agreements, confirmations, receipts, invoices, notices, disclosures, and other communications electronically through:

  • Email;
  • Account notifications;
  • In-product messages;
  • The website; or
  • Downloadable records.

You are responsible for maintaining a valid communication email and reviewing messages associated with your account.

Electronic records and acceptance have the same legal effect as paper records and signatures to the extent permitted by law.

60. General Provisions

60.1 Entire agreement

These Terms, the Privacy Policy, applicable transaction details, and additional feature-specific terms form the agreement between you and Meex concerning the Services.

They replace prior terms addressing the same subject matter, except for a separate written agreement signed by an authorized Meex representative.

60.2 Order of priority

If provisions conflict, the following order generally applies:

  1. A separate written agreement signed by Meex and you;
  2. Transaction-specific terms displayed before a particular purchase;
  3. Feature-specific additional terms;
  4. These Terms; and
  5. General platform notices.

Mandatory law always prevails.

60.3 No waiver

Failure to enforce a provision is not a waiver of the right to enforce it later.

60.4 Severability

If part of these Terms is found invalid or unenforceable, it will be enforced to the maximum lawful extent or modified only as necessary. The remaining provisions continue in effect.

60.5 Assignment

You may not assign or transfer these Terms or your account without Meex’s written consent.

Meex may assign these Terms in connection with a merger, financing, acquisition, reorganization, sale of assets, or transfer of the Services, subject to applicable law.

60.6 No third-party beneficiaries

Except where expressly stated, these Terms do not give rights to third parties.

60.7 Force majeure

Meex is not responsible for delay or failure caused by circumstances beyond its reasonable control, including:

  • Natural disasters;
  • Severe weather;
  • War;
  • Civil unrest;
  • Labour disputes;
  • Government action;
  • Public-health emergencies;
  • Utility failures;
  • Internet failures;
  • Cyberattacks;
  • Third-party platform outages; or
  • Similar events.

This does not remove obligations that cannot legally be excluded.

60.8 Interpretation

Section headings are for convenience only.

“Including” means “including without limitation.”

Singular words include the plural where appropriate.

These Terms will not be interpreted against a party merely because that party drafted them.
